Terms of sale
These terms of sale apply to any sale of a TokenVeil software license by JOOPIN'S LAB. They are intended exclusively for business customers (B2B) and do not apply to consumers.
1. Scope
TokenVeil is sold as an on-premises software license, deployed within the customer's own infrastructure. These terms apply to every quote, order, and license agreement issued by JOOPIN'S LAB, unless a separate written contract states otherwise.
2. Quotes and orders
There is no public price list. Each customer receives a custom quote based on team size, usage volume, and required integrations (LDAP, specific AI providers, and so on). An order is confirmed once the customer accepts the quote in writing and, where applicable, pays the agreed deposit.
3. Delivery
Delivery consists of providing the customer with the software, installation documentation, and the access needed to deploy TokenVeil within its own infrastructure. JOOPIN'S LAB may provide deployment assistance if it is included in the quote.
4. Price and payment
Prices are set out in the quote accepted by the customer and are exclusive of tax unless stated otherwise. Payment terms (timing, method, and recurrence for any support or update contract) are defined in the quote or the associated contract.
5. License and intellectual property
JOOPIN'S LAB grants the customer a non-exclusive, non-transferable license to use TokenVeil for the duration and scope defined in the quote. JOOPIN'S LAB retains all intellectual property rights over the software. The customer may not resell, sublicense, or redistribute TokenVeil without prior written agreement.
6. Liability
JOOPIN'S LAB's liability is limited to direct damages and capped at the amount paid by the customer for the relevant license. JOOPIN'S LAB is not liable for indirect damages such as loss of revenue or loss of data resulting from the customer's own infrastructure.
7. Termination
Either party may terminate the agreement under the conditions defined in the quote or contract. In case of breach, the other party may terminate after a formal notice that remains unresolved for thirty days.
8. Applicable law and disputes
These terms are governed by French law. Any dispute arising from a sale will be submitted to the Commercial Court of Toulouse. As these terms apply exclusively to professional customers, no consumer mediation procedure applies.
